    General Terms

    ARTICLE 1 – General

    Each contract or service is subject to these general terms and conditions, unless otherwise stated on the order form/quotation/invoice. The client agrees to these general terms and conditions when the order form is signed or when the invoice is paid. 

    ARTICLE 2 – Quotes 

    All our tenders are non-binding and have a period of validity of 30 calendar days, unless otherwise stated. The prices mentioned are always in € and excluding VAT. They may be withdrawn or amended at any time. Revision of the price is possible as a result of an increase in labour costs, social contributions and raw materials. Each order must be made in writing and cannot be cancelled without our written agreement. 

    ARTICLE 3 – Services

    Syntrium nv has the right to adjust the prices quoted for goods and/or services if any changes arise in the cost of those goods or services. The goods or services are provided as defined in the quotation or order form. 

    ARTICLE 4 – Custom - Projectwork 

    In the case of tailor-made/project work, this is specifically written according to the wishes of the client. In an initial consultation with the client, these specific wishes are discussed. The client undertakes to always provide the full and correct information, and to make his wishes clear. A quote then provides a detailed explanation of the project as a whole, planning and roll-out. The project is delivered as a whole as defined in the tender. After the completion of the project, further works, adjustments and/or extensions will be charged separately. 

    ARTICLE 5 – Prices & payments 

    Our invoices must be paid in our bank account in the currency indicated and that no later than 30 days after billing date, unless expressly stated otherwise and agreed. Any complaint related to the invoice must reach us by registered letter within an 8-working days period after the invoice date. In case of default of the whole or a part of the price, the outstanding amount of legal and without any notice of default is required, will be increased by an annual interest rate of 12% and a flat-rate fee of 10 %, with a minimum of EUR 250. Any default entails the claimability of the outstanding invoices and gives the seller the right, after notice of default, or to suspend any future deliveries or to dissolve the agreement, without prejudice to the right to Compensation. 

    ARTICLE 6 – Liability 

    With the exception of what has been described in the previous Article, Syntrium is not required to pay compensation directly or indirectly as a result of goods or services supplied or sold by us, except in the event of serious error or intent. Syntrium's liability is in any way limited to the invoice value of the goods/services supplied. Under no circumstances can Syntrium be addressed for any indirect damage such as, but not limited to, loss of income, loss of contracts, capital costs, reduction of return or any other losses or consequential damages, both to the buyer as to third parties. Syntrium bears no responsibility for the error of appointees, even in case of intent or serious error. In the latter case, the buyer must appeal directly to the appointee. 

    ARTICLE 7 – Termination fee 

    If the customer breaks or cancels the agreement or if the agreement cannot be reached by its consent, it is liable to us for compensation amounting to 30% of the total amount of the order. 

    ARTICLE 8 – Complaints and disputes 

    In order to be valid, complaints must be registered within our possession within 8 calendar days of receipt of the invoice. The invoice is deemed to have been received 3 calendar days after issue date. Filing a complaint does not relieve the client of his commitments. Any dispute concerning the current agreement will be settled exclusively by the competent court of the district of Antwerp and will be subject to Belgian law. Deviation from these general terms and conditions is only possible with our express written consent. In the event of disputes or disputes, Belgian law shall apply and only the peace court of the canton or the courts of the district of our registered office are competent. 

    ARTICLE 9 – Privacy and personal data 

    Personal information is intended solely for internal use by Syntrium nv. The client is entitled to access and improvement as provided for in the Law of 8 December 1992 on the protection of private life. Notification of infringements on these terms and conditions may be done or by e-mail.
